We are happy to be recruiting for one of our high-profile utilities clients. They are currently looking for a Company Secretarial Assistant to join them for an initial 6-month contract. However, there may be scope for extension, or even a more permanent opportunity.

Job Purpose:

To proactively participate as a professional member of the Company Secretariat & Corporate Legal team providing first class company secretariat and governance services to the Board, senior management and external stakeholders. Ensuring the Company's compliance with its corporate governance, company law and regulatory, and LSE/NYSE listing obligations.

Key Accountabilities:

NGET Board and Committees, Directors

  • Supporting the Subsidiaries Company Secretarial team in providing Board and Committee secretarial support on a continuous improvement basis
  • Providing coordination of the necessary Director related requirements including directors' registers, conflicts of interest, inductions, changes (including appointments and resignations) and year-end reporting e.g. director emoluments/confirmations and relevant Board approvals
  • Drafting of any Board and Committee papers which may be required
  • Coordinating the Board and Committee calendar coordination with the Executive Assistant
  • Coordinating the Directors' and Officers' Liability insurance
  • Support the overall plan for Director inductions, workforce engagement and site visit opportunities
  • Inputting on any terms of reference reviews for Board and committees
  • Proactively identify any opportunities to streamline processes and use of digital tools to increase efficiency.
  • Support on the company secretarial elements of any financing activities such as dividend payments and share capital reduction activities.

Subsidiary Group Companies

  • Actively support the subsidiary governance for the Group, providing compliance and efficient administrative support to an active portfolio of UK subsidiaries, maintenance of statutory records, drafting minutes, meetings, drafting resolutions and filings
  • Support the maintenance of the Diligent entities database with other members of the team and ensuring that that corporate documentation and statutory filings relating to companies in region are kept up to date
  • Producing the Group organisation chart or extracts of it as required
  • Reviewing statutory accounts, including arrangement of board meetings and minutes
  • Supporting on providing practical advice for director duties and responsibilities to the directors' of subsidiary companies and inductions for new subsidiary directors
  • Support with liquidation and rationalisation projects as required, working with key stakeholders to strike off/liquidate dormant companies where appropriate
  • Support on relevant year-end reporting deliverables including related parties and unbundling obligations
  • Supporting the Company Secretariat team with significant corporate projects (including intercompany loans, capital increases, payment of dividends) and conducting due diligence where necessary
  • Support on the Group entities' Annual Report and Annual General Meeting (AGM) processes as required.

General

  • Support with ad hoc corporate and departmental projects
  • Contribute to the development of relevant knowledge sharing and training areas for the team
  • Contribute to delivering the team's strategy and strategic priorities

Qualifications / Experience required:

  • Qualified paralegal with a minimum two years' experience in the Corporate Legal / Company Secretarial function of a listed company with a good understanding of the role (or commensurate experience)
  • Ability to work under pressure and without supervision to meet key deadlines and prioritise effectively
  • Committed and energetic approach
  • Experienced team player with excellent interpersonal skills
  • Proven experience of dealing with directors and senior stakeholders and of building strong working relationships cross-functionally in a listed company environment
  • Highly organised and thorough, demonstrating excellent attention to detail and a proactive and flexible approach
  • Good IT skills (MS Word and MS Excel essential, MS PowerPoint, MS Sharepoint)
  • Working knowledge of Diligent entities (helpful)
  • Working knowledge of Board Vantage (helpful)

Location:

This is a hybrid working role, with a requirement to work from the clients London office at least 2 days a week.

Working hours:

Standard working hours with some flex where required.
